These Terms and Conditions (“Terms”) govern your use of the KitchUp mobile application and website (collectively, the “Service”) operated by KitchUp (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By downloading, installing, or using KitchUp, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

2. Description of Service

KitchUp is a cooking companion application that provides recipe management, meal planning, grocery list generation, and nutrition tracking features. The Service includes AI-powered tools for recipe import, suggestions, and nutritional analysis. The Service is available on iPhone, iPad, Mac, and Apple Vision Pro.

3. User Accounts

To access certain features, you must create an account using Sign in with Apple, Google, Facebook, Instagram, or email. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. User Content

Your Recipes and Data

You retain ownership of all recipes, meal plans, grocery lists, and other content you create or import into KitchUp (“User Content”). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you.

Imported Content

When you import recipes from external websites or sources, you are responsible for ensuring you have the right to use that content for personal purposes. KitchUp’s recipe import feature is intended for personal, non-commercial use. We do not claim ownership of imported recipes.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to transmit malicious code, spam, or harmful content
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated means to access the Service except through our provided APIs
• Resell, redistribute, or commercially exploit the Service without our written consent

6. AI-Generated Content Disclaimer

KitchUp uses artificial intelligence to provide recipe suggestions, nutritional estimates, ingredient substitutions, and other features. Please be aware of the following:

• Nutrition information is an estimate. AI-calculated nutritional data (calories, macros, vitamins, etc.) should be treated as approximations and not as precise medical or dietary advice. Actual values may vary based on specific brands, preparation methods, and portion sizes.
• Not medical advice. KitchUp is not a substitute for professional medical or nutritional advice. Always consult a healthcare professional before making significant changes to your diet, especially if you have allergies, medical conditions, or specific dietary needs.
• Allergy caution. While KitchUp may indicate common allergens, AI-generated content may not identify all potential allergens or cross-contamination risks. Always verify ingredients independently if you have food allergies.
• Recipe accuracy. AI-extracted and AI-suggested recipes are provided as-is. We recommend reviewing all ingredients and instructions before cooking.

7. Third-Party Integrations

Apple Health

KitchUp integrates with Apple Health to sync health and fitness data. Your use of Apple Health is subject to Apple’s terms and conditions. We access Apple Health data only with your explicit permission and use it solely within the app.

Third-Party Sign-In

When you sign in using third-party providers (Apple, Google, Facebook, Instagram), your use of those services is governed by their respective terms. We are not responsible for the practices of third-party authentication providers.

8. Intellectual Property

The Service, including its design, features, code, logos, and branding, is owned by KitchUp and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

9. Advertising

The free version of KitchUp displays advertisements provided by third-party ad networks. These ads may be targeted based on your device information and usage patterns, subject to your privacy settings. Ad content is provided by third parties, and we are not responsible for the products or services advertised.

10. Availability and Modifications

We strive to keep the Service available at all times but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

11. Limitation of Liability

To the maximum extent permitted by law, KitchUp and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, or goodwill, arising from your use of the Service.

In particular, we are not liable for any health consequences resulting from reliance on nutritional information, recipe suggestions, or other AI-generated content provided by the Service.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time through the app settings.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which KitchUp operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts of that jurisdiction.

15. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated through the app or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
